These Terms & Conditions ("Terms") govern Your access to and use of the GroFresh website, mobile applications, and related services (collectively, the "Service"). By creating an account, placing an order, joining as a vendor, or otherwise using the Service, You agree to be bound by these Terms.

If You do not agree with these Terms, please do not use the Service. Capitalized words have the meanings set out in our Privacy Policy unless defined here.

About GroFresh

GroFresh is a marketplace platform that connects customers with local stores ("Vendors") for everyday shopping. GroFresh facilitates discovery, ordering, and delivery coordination. Products are sold by Vendors, not by GroFresh, unless expressly stated otherwise.

Eligibility

• You must be at least 18 years old (or the age of majority in Your jurisdiction) to create an account or place orders.
• You represent that information You provide is accurate and complete, and that You will keep it up to date.
• Vendors must have lawful authority to sell the products listed on the Service and must comply with applicable licenses and regulations.

Accounts

You are responsible for maintaining the confidentiality of Your login credentials and for all activity under Your Account. Notify Us promptly if You suspect unauthorized access. We may suspend or terminate Accounts that violate these Terms or that appear fraudulent, abusive, or unsafe.

Customer orders

Ordering

When You place an order, You offer to purchase products from the relevant Vendor at the prices and fees shown at checkout. Orders are subject to Vendor acceptance, stock availability, and delivery capacity in Your area.

Pricing and fees

Product prices are set by Vendors and may change. Delivery fees, packing charges, taxes, and promotions (if any) are displayed before You confirm payment. GroFresh is not responsible for typographical pricing errors; We or the Vendor may cancel an order affected by an obvious error.

Payment

You authorize Us and Our payment partners to charge Your selected payment method for the order total. Payment methods and availability may vary by location.

Cancellation

You may cancel an order only while cancellation is still available in the app (typically before the Vendor starts preparing the order). After that, refunds follow our Refund Policy.

Vendors

If You join GroFresh as a Vendor, You agree to:

• Provide accurate store, product, inventory, and pricing information
• Fulfill accepted orders with reasonable care and within stated timelines
• Comply with food safety, labeling, tax, and other applicable laws
• Not list prohibited, counterfeit, or unsafe items
• Honor promotions and policies You enable on the platform

Commission, settlement, and commercial terms (if any) are governed by Your vendor agreement or onboarding terms with GroFresh. Marketing materials may describe "0% commission" or similar offers; the specific terms applicable to Your store are those You accept during onboarding or in writing.

Delivery

Delivery is arranged through GroFresh and/or partner riders according to our Shipping Policy. Estimated times are indicative only. Risk in products generally passes to You upon delivery to the address You provide, subject to applicable law and the Refund Policy for quality or wrong-item issues.

Acceptable use

You agree not to:

• Misuse the Service, attempt unauthorized access, or disrupt systems
• Scrape, reverse engineer, or misuse platform data beyond normal use
• Harass riders, store staff, or other users
• Use the Service for unlawful, fraudulent, or harmful purposes
• Post false reviews or misleading content

Intellectual property

The GroFresh name, logos, app design, and platform content are owned by GroFresh or its licensors. Vendors retain rights in their own product photos and descriptions but grant GroFresh a license to display them to operate the Service. You may not copy or reuse GroFresh branding without prior written permission.

Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, GroFresh disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability, that every store will accept every order, or that product descriptions provided by Vendors are error-free.

Limitation of liability

To the fullest extent permitted by law, GroFresh and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from Your use of the Service. Our total liability for any claim relating to the Service shall not exceed the greater of (a) the fees You paid to GroFresh for the transaction giving rise to the claim in the three (3) months preceding the claim, or (b) INR 2,000. Nothing in these Terms excludes liability that cannot be limited under applicable Indian law.

Indemnity

You agree to indemnify and hold harmless GroFresh, its affiliates, and their officers from claims arising out of Your misuse of the Service, Your breach of these Terms, or (for Vendors) Your products, listings, or fulfillment.

Governing law

These Terms are governed by the laws of India. Courts in Delhi, India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply to You.

Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
